Autodesk has signed a definitive agreement to acquire MaintainX, a maintenance and asset operations platform, in an all-cash transaction valued at approximately $3.6 billion.
The deal, announced on May 28, marks Autodesk's entry into the maintenance and asset management software segment. The company plans to fund the acquisition through a combination of existing cash and debt financing.
Founded in 2018, MaintainX provides software that helps organizations manage maintenance operations, work orders, inspections, and asset performance. Its platform is used across industries including manufacturing, facilities management, and industrial operations.
Through the acquisition, Autodesk aims to expand its presence beyond design and construction software into operational asset management. The company expects MaintainX's platform and existing integrations to complement its broader portfolio of solutions for the built environment.
The transaction also supports Autodesk's strategy to strengthen its position across the asset lifecycle, from design and construction to ongoing maintenance and operations.
The acquisition remains subject to customary closing conditions and regulatory approvals.
